Terms of Service

Effective: August 29, 2025

1. Acceptance of Terms

By accessing or using ytTXT (the “Service”), you agree to be bound by these Terms of Service (the “Terms”). If you do not agree to these Terms, do not use the Service.

2. Description of Service

ytTXT provides tools to process publicly available or user-submitted video links and associated content to generate transcripts, speaker labels, and related outputs. Features and functionality may change from time to time.

3. Eligibility & Accounts

You must be at least 16 years old to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

4. Credits, Billing, and Refunds

The Service may use a credits-based model. Credits are consumed when jobs are created and/or processed. Payments are handled by third-party payment processors. Except where required by law, we do not offer refunds. Credit reversals or adjustments may be granted at our sole discretion, and users are not entitled to a refund.

5. Your Content and License to Us

You retain ownership of content you submit, including video links, transcripts, and derived outputs. You grant ytTXT a non-exclusive, worldwide license to host, process, store, and use such content solely to operate, maintain, secure, and improve the Service.

6. AI-Assisted Processing

Parts of the Service may use artificial intelligence and related technologies to analyze or transform content you provide. We may rely on third-party service providers to facilitate this processing. We do not guarantee the accuracy or reliability of AI-generated outputs; you should independently verify results before relying on them.

7. Acceptable Use

  • Only submit content you have the rights to process.
  • Do not violate any laws, third-party rights, or platform terms (including YouTube).
  • Do not attempt to circumvent usage limits, credits, or security.
  • Do not interfere with or disrupt the Service.
  • Do not resell, sublicense, lease, or make the Service available to third parties.
  • Do not reverse engineer, decompile, or attempt to extract source code from the Service.
  • Do not access or collect data from the Service via automated means (including scraping or crawling) except as permitted by our publicly documented APIs.
  • Do not attempt to bypass or defeat authentication, rate limits, or other access controls.
  • Do not upload or distribute viruses, malware, or other harmful code.
  • Do not impersonate others or infringe intellectual property, privacy, or publicity rights.

8. Intellectual Property

The Service, including its software, UI, and branding, is owned by ytTXT and its licensors and is protected by intellectual property laws. These Terms do not grant you any rights to our trademarks or other brand features.

9. Third-Party Services

The Service integrates with third-party services (for example, hosting, storage, analytics, payments, and AI providers). Your use of those services may be subject to their terms and policies. We are not responsible for third-party services.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that outputs will be accurate, reliable, or free of errors.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL YTTXT OR ITS AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE 3 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) $100.

12. Indemnification

You will indemnify and hold harmless ytTXT and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your content, your use of the Service, or your violation of these Terms.

13. Termination

We may suspend or terminate access to the Service at any time for any reason, including violations of these Terms or legal risk. You may stop using the Service at any time.

14. Changes

We may update these Terms from time to time. If changes are material, we will provide notice by reasonable means. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

15. Feedback

If you submit ideas, suggestions, or other feedback about the Service (“Feedback”), you grant ytTXT a worldwide, perpetual, irrevocable, royalty-free license to use, copy, modify, sublicense, and otherwise exploit the Feedback for any purpose without restriction or obligation to you. Feedback is not confidential.

16. Beta Services

We may offer features or services identified as beta, preview, or similar (“Beta Services”). Beta Services may be incomplete, may change at any time, and are provided “as is” without warranties or liability. We may request your participation in testing and feedback.

17. Export Control & Compliance

You represent that you are not located in, under the control of, or a national or resident of any country or person prohibited by applicable export laws and sanctions. You agree to comply with all applicable export control and sanctions laws in connection with your use of the Service and will not use the Service in any manner that would cause ytTXT to violate such laws.

18. General Terms

Assignment. You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. We may assign these Terms without restriction. Severability.If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect. Waiver.Our failure to enforce any provision is not a waiver of our right to do so later. Entire Agreement. These Terms constitute the entire agreement between you and ytTXT regarding the Service and supersede all prior or contemporaneous agreements on the subject matter. Headings are for convenience only and have no legal effect. “Including” means “including without limitation.”

19. Governing Law & Venue

These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict of laws principles. You agree to the exclusive jurisdiction and venue of the courts located in Alberta, Canada for any dispute arising out of or relating to the Service or these Terms.
